AXIS BANK vs DURAI INVESTMENTS HOLDINGS PRIVATE LIMITED on 3 August 2022

O R D E R

This Application has been filed under Section 19 (1) of the RDDBFI Act, by the Applicant Bank to recover a total sum of Rs.173,77,01,302.04 (Rupees One Hundred and Seventy Three Crores Seventy Seven Lakhs One Thousand Three Hundred and Two and paise Four only) from the defendants as detailed below:

(i) a sum of Rs.173,21,12,761.91 (Rupees One Hundred and Seventy Three Crores Twenty One Lakhs Twelve Thousand Seven hundred and Sixty One and paise Ninety one only) along with interest @ 13.80% per annum, with monthly rests towards SBLC facility,

(ii) Rs.55,88,540.13 (Rupees Fifty Five Lakhs Eighty Eight Thousand Five Hundred and Forty and paise Thirteen only) along with interest @ 10.75% per annum, with monthly rests towards TOD facility , from 29.07.2017, till the date of its realization, and also by sale of the hypothecated/mortgaged properties which are more fully described in the Schedule, with costs.

2. The brief facts of the case are as follows:- 2.1 The D1 approached the Applicant Bank for sanction of a Letter of Credit (SBLC) facility for its business purpose. At their request on 24.02.2015, Applicant Bank advanced SBLC facility of Rs.150 Crores (Rupees One Hundred and Fifty Crores only ) to D1. The primary security was the Hypothecation of Schedule ‘A’ properties and collateral security of equitable mortgage of properties mentioned as Item No.s 1 to 15 of Schedule ‘B’. The Defendants acknowledged/ accepted the terms and conditions stipulated in the Sanction Letter dated 24.02.2015. On 04.03.2015, D1 executed an Undertaking and Counter Indemnity for Standby Letter of Credit in support of the loan transaction. 2.2 The D1 also approached Applicant Bank for sanction of a Temporary Overdraft facility (TOD) and considering the said request on 23.09.2015, Applicant sanctioned Temporary Over Draft facility of Rs.50.00 Lakhs (Rupees Fifty Lakhs only) to D1. The Defendants acknowledged/ accepted the terms and conditions stipulated in the Sanction Letter dated 30.06.2016. On 30.06.2016, D1 executed

Demand Promissory Note and DP Note Delivery cum Waiver Letter in support of the loan transaction. 2.3 The D2 to D8 executed separate Guarantee Agreements dated 04.03.2015, 19.06.2015, 09.04.2015, 23.03.2015, 23.03.2015, 17.04.2015 and 11.06.2015 in favour of the Applicant Bank and stood as guarantors for the loan availed by D1. 2.4 The D2 to D9 deposited the Title Deeds pertaining to the properties which are more fully described in Schedule ‘B’ in favour of the Applicant Bank with an intention to create an equitable mortgage and created mortgage over the same. The D2 to D 9 confirmed the same by executing following Memorandums duly registered with the Offices of respective Sub Registrar of Assurances. i. Memorandum of agreement evidencing deposit of title deeds of item No.1 property, executed by D9 – Doc. No.2943/2015. ii. Memorandum of Agreement Evidencing Deposit of Title Deeds of Item No.2 property, executed by D5 and D6 – Doc. No.1382/2015 . iii. Memorandum of agreement evidencing deposit of title deeds of item No.3 property, executed by D5 and D6 – Doc. No.1445/2015 . iv. Memorandum of agreement evidencing deposit of title deeds of item No.4 property, executed by D2 – Doc. No.1446/2015. v. Memorandum of agreement evidencing deposit of title deeds of item No.5 property, executed by D5 & D6 – Doc. No.3680/2015 . vi. Memorandum of agreement evidencing deposit of title deeds of item No.6 property, executed by D5 & D6 – Doc. No.1501/2015 .

xvii. Memorandum of agreement evidencing deposit of title deeds of item No.15 property, executed by D3 – Doc. No.3038/2015 . 2.5 The D1 availed the credit facilities, however, failed to repay the loan regularly and account became irregular and was classified as Non- Performing Asset on 30.09.2016. Total Rs.173,77,01,302.04 2.6 The D1 availed aforesaid loans with an undertaking to repay the same with interest @ 13.80% in respect of SBLC facility and @ 10.75% (7.80 + 2.95) in respect of TOD facility, per annum with monthly rests.

2.7 Therefore, the Applicant Bank is entitled to recover a total sum of Rs.173,77,01,302.04 (Rupees One Hundred and Seventy Three Crores Seventy Seven Lakhs One Thousand Three Hundred and Two and paise Four only) from the defendants along with interest @ 13.80% per annum for SBLC facility and @ 10.75 % per annum for TOD facility, with monthly rests and also by sale of the mortgaged properties belonging to D1 to D9 which are more fully described as Item No.1 to 15 in Schedule “B”; and also by sale of the hypothecated properties of D1, more specifically shown in Schedule “A” and pay the proceeds to the Applicant, with costs. Hence, the application.

3. The Defendants were called absent and set ex-parte on 24.07.2018.

4. The Applicant Bank, in order to prove its claim, has filed Proof Affidavit dated 25.01.2022 executed by Mr.S.Manimaran, Asst. Vice

President of the Applicant Bank and the documents are marked as Exhibits A1 to A 71 in support of its claim in the OA. In addition to the documents mentioned above, which are marked as Exhibits A1 to A 31, copies of Title Deeds produced with OA are marked as Exhibits A32 to A 61; copies of notice, postal Acknowledgement and paper publication are marked as Exhibits A62 to A 67 and certified copies of statement of accounts and Memorandum of Interest are marked as A68 to A71.

5. A cumulative analysis of both the Proof Affidavit and the documents marked by the Applicant Bank would prove the claim of the Applicant Bank in the OA.

6. Therefore, the Applicant Bank is entitled for a final order on the following lines:-

7. In the result, in view of the observations made supra, the Applicant Bank is entitled to recover, a sum of Rs.173,77,01,302.04 (Rupees One Hundred and Seventy-Three Crores Seventy Seven Lakhs One Thousand Three Hundred and Two and paise Four only) from the defendants as detailed below:

(i) a sum of Rs.173,21,12,761.91 (Rupees One Hundred and Seventy Three Crores Twenty One Lakhs Twelve Thousand Seven hundred and Sixty One and paise Ninety one only) along with interest @13.80% per annum, with monthly rests towards SBLC facility,

(ii) Rs.55,88,540.13 (Rupees Fifty Five Lakhs Eighty Eight Thousand Five Hundred and Forty and paise Thirteen only) along with interest @10.75% per annum, with monthly rests towards TOD facility , from 29.07.2017, till the date of its realization and by sale of the hypothecated properties which are more fully described in Schedule ‘A’ and also by sale of the mortgaged properties which are more fully described in Schedule ‘B’ with costs.

8. Therefore, the defendants, jointly and severally, are directed to pay to the Applicant Bank a sum of Rs.173,77,01,302.04 (Rupees One Hundred and Seventy Three Crores Seventy Seven Lakhs One Thousand Three Hundred and Two and paise Four only) from the defendants as detailed below:

(i) a sum of Rs.173,21,12,761.91 (Rupees One Hundred and Seventy Three Crores Twenty One Lakhs Twelve Thousand Seven hundred and Sixty One and paise Ninety one only) along with interest @13.80% per annum, with monthly rests towards SBLC facility,

(ii) Rs.55,88,540.13 (Rupees Fifty Five Lakhs Eighty Eight Thousand Five Hundred and Forty and paise Thirteen only) along with interest @10.75% per annum, with monthly rests towards TOD facility , from 29.07.2017, till the date of its realization till the date of its realization, and with costs. On failure to pay the above said debt to the Applicant Bank, the Applicant Bank is directed to bring the hypothecated / mortgaged properties which are more fully described in the Schedule ‘A’ and ‘B’ for sale to realize its dues.

9. The Registry is directed to prepare DRC in terms of this final order. The Applicant Bank shall file memo of costs within 15 days from the date of this order. The Registry is directed to communicate copies of this order to both the parties as provided in Rule 16 of the Debts Recovery Tribunal (Procedure) Rules 1993, as amended in 2003.

In Tirupur Registration District, Nallur Sub Registration District, Tirupur Taluk, in Veerapandi Village, in S.F.No.328 an extent of 6.04 acres assessed at Rs.4.94 in this on the northern part an extent of 2.00 acres in this a layout has been formed and named it as “Classic Garden” and as per the layout plan the Site No.8 measuring an extent of 7,168 ½ square feet situated within the following boundaries:- East of site No.7: West of site No.9: North of the share of lands in S.F.No.328 belonged to Pushpathal: South of east west 30 feet breadth layout road:

measuring east west 59 feet on both sides and south north 121 ½ feet on both sides making the above extent of 7,168 ½ square feet and the right to use the layout roads and other mamool roads to reach the property. In Tirupur Registration District, Tirupur Joint I Sub Registration District, Tirupur Taluk, Tirupur Town, old Ward No.7, Thiruneelakandapuram North extension, in Thottipalayam Village, in S.F.No.14 an extent of 12.40 acres assessed at Rs.13.94 in this an extent of 2,920 square feet situated within the following boundaries:-

11. Property in the name of M/s. P G C Promoters (India) Pvt. Ltd, located at S.F.No. 189, Patta No.265, Palladam Panchayat Union, Chittambalam Village & Panchayat, Palladam SRO, Palladam Taluk, Palladam District.

In Tirupur Registration District, Palladam Sub Registration Disttrict, Palladam Taluk, within the limits of Palladam Panchayat Union and Chitambalam Village Panchayat Board, in Chitambalam Village, in S.F.No.189 an extent of 5.43.50 hectare for this an extent of 13.43 acres assessed at Rs.22.89 in this a layout has been formed and as per the layout plan,

(1) The Site No: 1, measuring an extent of 1,998 Square feet situated within the following boundaries, North by Site No’s: 56 and 57 South by S.F.No: 190 East by Site No:2

West by 32 Ft. North South Layout Road measuring East West 63 Feet on the Northern Side, East West 60 Feet on the Southern Side, North South 35 Feet on the Eastern Side, and North South 30 Feet on the Western Side making the above extent of 1,998 square feet.

(3) The Site No: 3, measuring an extent of 1050 Square feet, situated within the following boundaries, North by Site No: 54 South by 23 Ft. East West Layout Road East by Site No: 4

West by Site No: 2 measuring East West 30 Feet on the Northern Side, East West 30 Feet on the Southern Side, North South 35 Feet on the Eastern Side, and North South 35 Feet on the Western Side making the above extent of 1,050 square feet.

(4) The Site No: 4, measuring an extent of 1,050 Square feet, situated within the following boundaries,

North by Site No: 53 South by 23 Ft. East West Layout Road East by Site No: 5

(i) in S.F.No.303/1I an extent of 2.81.0 hectares for this 6.94 acres assessed at Rs.21.92 in this an extent of 3.49 acres in this an extent of 0.32 acre (32 cents) situated within the following boundaries:- South of 45 links breadth east west common cart track: East of an extent of 0.19 ½ acre (19 ½ cents) in S.F.No.303/3 and the share of lands purchased by C.Ramkumar: North of the lands in S.F.No.305: and West of the lands in S.F.No.303/4: within this 0.32 acre (32 cents).
