At the instance of the Indian Bank, the 1st Defendant Mill has been declared as sick unit and order was issued by BIFR on 14.03.2000 under Reference Case No.20/96 BIFR, New Delhi for winding up u/s.441 of the Companies Act 1956 and directing for winding up with High Court, Chennai under Provisions of Section 22 of the Sick Industries (Special Provisions) Act and also under the Provisions of Section 442 of the Companies Act. The Suit is not maintainable and the whole proceedings will have to be suspended awaiting the outcome of the liquidation proceedings. Therefore, the Suit which will have to be dismissed and to be stayed statutorily 17 TA No.334/2002 awaiting the outcome of the Winding Up Proceedings by the Hon’ble High Court of Chennai in this regard.

4. The Averments made by the Official Liquidator in the Reply Statement are stated as follows:

4.1. By an Order of the Hon’ble High Court dated 29.09.2000 in Company Petition No.483/2000, the 1st Defendant Company was ordered to be wound up and the Official Liquidator attached to this Hon’ble Tribunal has become the Liquidator of the said Company with directions to take charge of all the properties and effects of the Company.

4.2. In Compliance of the said Order, the Official Liquidator has taken possession of all the movables & immovable assets of the Company in Liquidation situated at Dindal Village, Kariamangalam, Dharmapuri District. The Hon’ble High Court through Publication Auction, has sold the movables assets for a sum of Rs.32,59,005/- and subsequently, the land and building for Rs.1.23 Crores. There are no assets left out for sale belonging to the Company in Liquidation.

4.3. The Official Liquidator has received 88 claims from workmen for a total amount of Rs.38,77,092/- and the claims were adjudicated and admitted for a total amount of Rs.38,79,320/-. The only secured Creditor of the Company is M/s. Indian Bank, ARM Branch, Coimbatore and the Applicant Bank has submitted a claim for Rs.7,85,00,052/- with the Official Liquidator.

4.4. The Official Liquidator paid the adjudicated amount as per the Hon’ble High Court’s Order in CA No.686/2007 & CA No.75 & 76/2009 at the rate of 30% and then at the rate of 6% to the Applicant Bank. The total amount paid by the Official Liquidator to the Applicant Bank is (after deducting Central Government Commission and Audit

18 TA No.334/2002 Fee and Reimbursement of Liquidation expenses incurred by Respondent Bank) Rs.1,18,65,667/- and Rs.6.78,241/- respectively. The Official Liquidator has settled the secured creditor as well as workmen dues as per the Provisions of Section 529 and 529A of the Companies Act 1956. Therefore, the Official Liquidator prays this Honourable Tribunal (a) to issue no due certificate in favour of Official Liquidator since the Official Liquidator settled the claim in favour of Applicant Bank as per the directions of Honourable High Court of Madras, and (b) to direct the Applicant Bank to reimburse the total amount incurred by Official Liquidator in connection with the Legal Proceedings before this Hon’ble Tribunal.

5. The Averments made by the 2nd Defendant in the Additional Written Statement are stated as follows:

5.1. The Applicant Bank is not entitled an interest as the Company has already referred to BIFR and therefore the Applicant Bank cannot add the interest from the date of Order of BIFR dated 02.08.1996. The Applicant Bank has claimed a huge from the Defendants by way of adding interest till date which the Applicant Bank is not entitled. The Property belong to the Company has more value than the amount due to the Bank. Therefore, there is no need to proceed against the Guarantors Properties as stated in the Application. The 2nd Defendant preferred an Appeal against the Order Attachment of the Personal Property of the 2nd Defendant before the Hon’ble Debt Recovery Appellate Tribunal, Chennai, which is still pending.

5.2. After the Order of BIFR the Applicant Bank has stated that the Company had declared as sick unit hence they are ready to proceed against the Company also. Therefore, the Applicant Bank cannot charge for interest after the Order of BIFR. After the Order of 19 TA No.334/2002 BIFR, the Official Liquidator has already taken possession of the Company’s Property and they have to settle the dues to the Applicant Bank.

5.3. The Official Liquidator has already sold the machinery for less value as the machinery values for Rs.41.85 Lakhs and the Official Liquidator has sold the above machinery for Rs.38.00 Lakhs.

5.4. The Value of the Land as per the Official Liquidator will fetch only Rs.38,575 Lakhs, but the value for the land is estimated as Rs.85.00 Lakhs as per the independent Surveyor, apart from the Plantations in the said land. The value of the building is estimated at Rs.67.742 Lakhs and the actual value assessed as Rs.140.00 Lakhs and the total value of the 1st Defendant property alone will fetch about Rs.310.00 lakhs, hence the Applicant Bank cannot a choice of proceed against the Guarantors Properties. The Guarantors have not given their personal property as security for the loans. Therefore, the liability cannot be fastened on the Guarantors.

5.5. The Applicant Bank has filed an Application against Guarantors after the 3 years from the date of Guarantee and hence the Guarantee lapsed by Limitation. No equitable mortgage of personal properties was created in favour of the Applicant Bank.

5.6. As per the Bank Books dues from the 1st Defendant is shown as Rs.78,01,878.90 and the Applicant Bank by adding interest throughout the period and shown the amount as huge as more than Rs.2.00 Crores due from the Defendants, which the Applicant Book is not entitle. As per the Applicant Banks statement dues on Account of Short Term Loan was Rs.2,39,740/- the same fully paid and the same was accepted by the Applicant Bank.

20 TA No.334/2002

5.7. The loans availed by the 1st Defendant from the Applicant Bank only on account of stocks, raw materials, finished goods, stores and other inventories. These are all already hypothecated to the Applicant Bank. Therefore, the Applicant Bank has right over the immovable property. The claim over the Guarantor is barred by limitation. The Applicant Bank though agreed for One Time Settlement for Rs.70,37,902/- with itself shows that the due to the Applicant Bank is very meager. Due to unfortunate delay of few days in payment of 1st Installment the Applicant Bank has unanimously cancelled the entire personal as agreed upon by both the parties.

5.8. The 2nd Defendant reserves their right to file Additional Counter Proof Affidavit along with the documents as and when the Orders are received from the Appellate Tribunal. There are no bonafide claims against the Defendants and not maintainable either in law of on facts. Therefore, the 2nd Defendant prays this Honourable Tribunal to dismiss the OA, to direct the Applicant Bank to produce the true and connect statements, which clearly reflect the correct statements and rate of interest charged to those accounts and the interest may be waived and to pay costs to these Defendants.

6. The Defendants (2 to 10) are called absent and set ex-parte on 18.05.2011 (D3 to D7), 13.07.2011 (D8 & D10), 26.08.2011 (D9) and 22.05.2012 (D2) in the case.

7. The Applicant Bank, in order to prove its claim, has filed Proof Affidavit executed by one Mr. G. Sudhakar, Assistant General Manager of the Applicant Bank and marked the documents as Exts.A-1 to A- 115 in support of its claim in the OA.

8. A cumulative analysis of both the Proof Affidavit and documents marked by the Applicant Bank would prove on the basis of the claim in the Proof Affidavit filed by the Applicant Bank.

21 TA No.334/2002

9. In the Proof Affidavit and the Ld. Counsel for the Applicant Bank submitted in his Written Submission had reiterated the statements made in the Original Application.

10. The 2nd Defendant having filed the Counter Proof Affidavit which is reiterated in the Reply Statement filed by the 2nd Defendant in the case is also taken on record by this Tribunal.

11. On perusal of Proceedings sheet of this OA dated 25.03.2009, the mortgaged properties of 1st Defendant Company is already sold by the Official Liquidator for a sum of Rs.155.50 Lakhs and paid Rs.103.70 Lakhs to the Applicant Bank and the Documents viz., Exs.A.93 to A.109 were also handed over to the Applicant Bank. Therefore, a sum of Rs.103.70 Lakhs (less) from the Claim of Rs.2,77,20,541/- is due from the Defendants (2 to 10) being a sum of Rs.1,73,50,541/- in terms of the Amended OA filed on behalf of the Applicant Bank on 31.12.2007.

12. The Applicant Bank having filed an ABJ Petition in IA No.2517/2007 and having allowed the same and attached the property by this Tribunal by its order dated 28.03.2008 and the said order is still in force in respect of the 2nd Defendant the said schedule of property mentioned in the IA No.2517/2007 shall be liable for the dues of the bank.

13. Therefore, in view of the observations made supra, the OA stands allowed and the Applicant Bank is entitled to recover, (a) a sum of Rs.1,73,50,541/- from the 2nd Defendant with future contractual interest @ 19.89% per annum with quarterly rests from the date of Application till the repayment as the transaction being commercial in nature.

22 TA No.334/2002

(ii) On failure to pay, the Applicant Bank is hereby directed to bring the Attached property for sale in terms of the order passed by this Tribunal by its order dated 28.03.2008 in IA No.2517/2007 and the sale proceeds appropriated for recovery of a sum of Rs.1,73,50,541/- with future contractual interest @ 19.89% per annum with quarterly rests from the date of Application till the repayment as the transaction being commercial in nature with Costs of this OA.

15. There being no personal guarantee against the loan granted by the bank to the 1st Defendant Company and the properties of the 1st Defendant Company having sold by the Official Liquidator and the bank realized a sum of Rs.1,03,70,000/- towards the dues and further the defendant 2 to 10 being the LRs of the deceased R.Govindasamy being the guarantor who was also the Director of the 1st Defendant Company died leaving behing the Defendants (2 to 10) are his legal 23 TA No.334/2002 heirs and therefore, the LRs are liable to the extent of the estate if any, inherited by them towards the loan dues of the bank.
