ORDER

This Writ Petition has been filed for the following reliefs:- "directing the 2nd Respondent to consider the petitioners representation dated 17.07.2026 pertaining to the affairs of M/s. Tirunelveli Infrastructure Developers Private Limited, CIN -U45200TN2007PTC065329, and to examine the allegations and materials placed therein in accordance with the provisions of the companies act, 2013 and the applicable statutory framework.”

2. The petitioner would submit that the 4th respondent approached his father and represented that there was a proposal to establish an airport at Velankanni, Nagapattinam District, Tamil Nadu. In Arbitration Reference No.68 of 2020, before the learned Sole Arbitrator, Shri U. Sarath Chandran, Ernakulam, the company, through its Managing Director, Shri Martin Sebastian (DIN: 01178181), is stated to have represented that approximately Rs. 10 crores had been invested as an advance towards the acquisition of lands for the proposed airport project.

3. The petitioner would further submit that the 4th respondent furnished certain sale agreements relating to the proposed acquisition of lands. It was also represented that the company had applied to the Ministry of Commerce and Industry in 2007 for approval to establish a Special Economic Zone (SEZ) at Khaitar, Tirunelveli District, Tamil Nadu, and had obtained in-principle approval for the same.

4. The petitioner would submit that the statutory records and financial filings of the company do not appear to reflect the aforesaid projects and the financial commitments associated with them. Hence, the petitioner seeks an examination of whether the land acquisitions, project expenditure, investments, borrowings, capital commitments and other financial transactions relating to the proposed airport and SEZ projects have been duly accounted for and disclosed in accordance with law.

5. The petitioner would further submit that the company has allegedly failed to comply with its statutory obligations concerning the maintenance of books of account and disclosure of material financial transactions. The petitioner contends that the alleged omissions warrant an investigation into the company's financial affairs and possible violations of the Companies Act, 2013.

6. The petitioner would submit that, despite submitting a representation dated 17.07.2026 seeking an investigation into the affairs of the 4th respondent company and appropriate action, the competent authority has failed to take any effective action to date. Hence, the petitioner is before this Court seeking the reliefs stated supra.

7. Heard the learned counsel for the respondents 1 to 3.

8. Since no order detrimental to the 4th respondent has been passed the Writ Petition is disposed of at the admission stage itself.

9. Considering the facts and circumstances of the case and the relief sought for by the petitioner, this Court without going into the merits of the case, directs the 2nd respondent to consider and pass appropriate orders on the petitioner's representation 17.07.2026, after affording an opportunity of personal hearing both to the petitioner as well as the 4th respondent, on merits and in accordance with law, within a period of 2 months from the date of receipt of a copy of this order.

10. Accordingly, this writ petition is disposed of. No costs. 27-10-2026 Index: Yes/No Speaking/Non-speaking order Neutral Citation: Yes/No SHR
